Todd Mezrah Suspended by FINRA Following Allegations of Misleading Emails
Todd Mezrah (CRD #: 2313891), a broker registered with Lion Street Financial, has been suspended by FINRA. This is according to his BrokerCheck record, accessed on December 11, 2023.
On October 17, 2023, Todd Mezrah consented to FINRA’s findings that he sent 14 emails to 16 retail investors discussing an opportunity to invest in a multi-family real estate property through a private offering of interests in the company that planned to acquire and develop the property.
FINRA alleges that these communications violated FINRA Rule 2210. FINRA Rule 2210 requires all communications with the public to be fair, balanced, and free from any false or misleading statements.
FINRA alleges that Todd Mezrah failed to provide information regarding the risks associated with private placements, including the risk of losing the entire investment. Further, the emails allegedly made unwarranted and misleading statements, such as that the private placement company could remain a “lower cost provider” even after they “raise rents.” FINRA alleges that Todd Mezrah did not have the authority to raise rents, making this statement misleading. The emails also allegedly stated that the investment had “limited downside,” which was allegedly misleading due to the speculative nature of the investment.
Terms of the AWC
As part of the terms of the AWC, Todd Mezrah consented to a fine of $10,000 and a 20-business-day suspension. You can read a copy of the AWC here.

M Holdings Securities terminated Todd Mezrah on April 16, 2023, following allegations that he did not follow the firm’s policies and procedures concerning outside business activities and private securities investments.
