Soichiro Moro Subject of SEC Regulatory Action

Soichiro Moro (CRD #: 4856668), also known as Michael Moro, is a broker formerly registered with Genesis Global Trading. SEC Regulatory Action

On January 17, 2025, the Securities and Exchange Commission initiated cease-and-desist proceedings against Soichiro Moro, alleging that he engaged in negligent conduct that misled investors while Chief Executive Officer of Genesis Global Capital.

The SEC alleged that Genesis Global Capital offered a lending program in which investors would earn yield in exchange for tendering crypto assets such as Bitcoin to the firm. Genesis Global Capital allegedly commingled investors’ assets and lent them to institutional borrowers, generating revenue by charging interest.

In June 2022, the firm allegedly experienced a significant financial loss due to a large borrower defaulting on their loan.

Soichiro Moro allegedly downplayed the impact of the default on the firm’s financial future, and overstated what the firm’s parent company, Digital Currency Group, did to assist the firm. The SEC alleged that he exhibited a lack of reasonable care that gave the public a materially false or misleading impression about his firm’s financial health.

In November 2022, Genesis Global Capital allegedly could not satisfy redemption requests and suspended withdrawals, then filed for bankruptcy in January 2023.

Sanctions

According to Soichiro Moro’s detailed BrokerCheck page, the SEC ordered him to cease and desist from violations of Section 17(a)(3) of the Securities Act of 1933 and to pay a civil penalty of $500,000.

Sections 17(a)(3) of the Securities Act of 1933 prohibits the use of deceptive practices to defraud customers participating in interstate securities transactions.
