Matthew Bahrenburg Allegedly Failed to Investigate Payson Private Placement

Matthew Bahrenburg (CRD #:5295661), a broker registered with CFD Investments, was named as a control person in an investor dispute, according to his BrokerCheck record, accessed April 12, 2022. He is also an investment advisor registered with Creative Financial Designs.

Investor Allegations

On February 1, 2022, Matthew Bahrenburg was named in an investor dispute filed against Dana Vietor, a formerly registered representative at Matthew Bahrenburg’s member firm. 

According to the allegations, Dana Vietor allegedly engaged in the sale of private investments in companies he had ownership or control of, and in the process, he engaged in a breach of fiduciary duty, violation of FINRA suitability rules, and fraud.

Matthew Bahrenburg allegedly failed to supervise and aided/ abetted fraud.

The investor is seeking $345,000ーthe case is still pending.

FINRA Suspension and Fine

According to an Acceptance, Waiver, and Consent agreement dated August 24, 2020, Matthew Bahrenburg consented to the findings that he and his member firm failed to conduct reasonable due diligence into Payson oil and gas private placement offerings. If he had performed his due diligence, he would have known that Payson was the subject of an investor lawsuit that resulted in a $9 million verdict for the investor, which should have been a red flag. Payson also allegedly ​​made misrepresentations to investors about their experience in the oil and gas industry, and their ability to afford the costs associated with drilling an oil well. 

As part of the terms of the AWC, Matthew Bahrenburg consented to:  

  1. A 45-day suspension 
  2. A $5,000 fine
