FINRA Suspension
On February 20, 2025, Justin Funakura consented to the entry of findings that he allegedly participated in private securities transactions without providing prior notice to Farmers Financial Solutions.
According to a Letter of Acceptance, Waiver & Consent (AWC), these transactions allegedly involved a company offering investments in crypto asset funds and programs in the form of promissory notes that would pay investors returns on a schedule.
From August 2021 to April 2022, Justin Funakura allegedly solicited investments in these notes from nine investors, including one client of Farmers Financial Solutions, allegedly totaling $120,000.
Justin Funakura allegedly introduced investors to the opportunity, provided information from the company about the crypto funds, and facilitated these investments. He allegedly received $4,000 in commission.
In approximately June 2022, the company allegedly defaulted on the notes.
Alleged Failure to Provide Notice to Firm
Justin Funakura allegedly failed to provide Farmers Financial Solutions with prior written notice of his participation in these securities transactions and did not receive approval to participate from the firm.
Further, he allegedly responded falsely to questions asking whether he had engaged in private securities transactions or received compensation for outside transactions on annual compliance questionnaires for 2021 and 2022.
The AWC concluded that these allegations constituted violations of FINRA Rules 3280 and 2010.
FINRA Rule 3280
FINRA Rule 3280 requires brokers to provide written notice to their firm before engaging in private securities transactions.
FINRA Rule 2010
