SEC Files Civil Complaint Against Dennis Butler

SEC Civil Complaint

On December 10, 2024, the Securities and Exchange Commission filed a civil complaint against Dennis Butler, Tayt Dencer, Luke Dencer, and Standard Holdings, Inc. (Standard Holdings) and Standard Huaxia, Ltd. (Huaxia). The complaint alleged that, from late 2017 to at least 2023, Standard Holdings defrauded at least 40 investors.

Standard Holdings and Huaxia allegedly raised more than $17 million from these investors, purporting to form a company to provide an app-based streaming service to China. The defendants, excluding Dennis Butler, allegedly misappropriated investor funds raised via shares of common stock and promissory notes.

They allegedly also made false and misleading statements to investors about the use, value, and protection of their investments. In particular, the SEC alleged that Standard Holdings and Huaxia never developed an app or had any content ready for distribution, and had no agreements to establish a streaming service in China.

As part of this scheme, Dennis Butler allegedly worked as an unregistered broker on behalf of Standard Holdings and Huaxia. He allegedly raised more than $2.3 million for Standard Holdings and Huaxia from 2019 through at least July 2022 by selling approximately 1.15 million shares of Huaxia Class A common stock to 15 investors. He allegedly received at least $235,700 in transaction-based compensation in connection with these sales.

The SEC alleged that Dennis Butler violated Section 15(a) of the Securities Exchange Act of 1934.
