Ares Private Credit: Fraud Concerns, Liquidity Risks, and Unexpected Losses

Securities Lawyer Jonathan Kurta
By: Jonathan Kurta Author

Ares private credit funds have drawn growing attention as investors report losses, private credit fund liquidity issues, and concerns about how these investments were presented. Brokers sometimes market private credit as a steady source of income with less volatility than public markets. However, many investors now question whether they fully understood the risks before committing capital.

The broader private credit market has expanded rapidly, and Ares has been one of the firms at the center of that growth. Ares traces its history back to 1997 and has steadily expanded its credit platform over the years, including the public listing of Ares Capital Corporation and the growth of its European credit business.

More recently, Ares has emphasized the continued growth of private credit, larger deal sizes, and increasing participation from private wealth channels, all of which have brought more individual investors into complex and illiquid products.

That growth matters because more investors are now exposed to products that may not behave as they were pitched to do when market conditions tighten. For a broader explanation of how these investments work, see our detailed article on Private Credit Funds. Investors who are questioning how these products were recommended should also review our pages on Private Placement Investments and FINRA Arbitration.

If you invested with Ares, private credit investment fraud is a real concern. Read more to learn what to look out for and how to get the help you need from our investment attorneys.

What Is Ares Private Credit Investing?

Ares is a major alternative asset manager with a significant presence in direct lending and other private credit strategies. Through its private credit platform, Ares provides financing to middle-market and other non-bank borrowers.

These loans can generate attractive yields for investors. However, they also carry meaningful risk. Borrowers may have high leverage, limited refinancing options, or greater sensitivity to rising rates and weaker economic conditions. If those risks materialize, investors in Ares private credit funds may face losses, reduced distributions, or restrictions on access to capital.

Ares has publicly described private credit as a growing and resilient asset class, but even its own outlook acknowledges macroeconomic uncertainty, shifting rate conditions, and rising participation by individual investors via semi-liquid structures.

Why Investors Are Raising Concerns About Ares Private Credit Funds

Investors have reported several concerns regarding Ares’ private credit funds. Many Ares fund complaints center on private credit fund liquidity issues, transparency, valuation, and risk disclosure.

Common concerns with Ares private credit funds include:

  • Limited ability to withdraw funds
  • Declining or inconsistent income distributions
  • Difficulty understanding underlying loan performance
  • Exposure to stressed or highly leveraged borrowers
  • Concentration in complex or illiquid investments

Some investors allege that these funds were presented as more stable or predictable than they really were. In reality, private credit funds can face significant pressure when borrowers struggle, refinancing markets tighten, or redemption requests increase.

These issues have led to growing Ares fund complaints from investors who expected steady income and reasonable access to their money. Reuters reported in February 2026 that Ares’ assets under management had climbed to $622.5 billion and that the firm raised $35.9 billion in new capital in the fourth quarter of 2025. At the same time, investors pushed Ares shares lower as attention turned to software exposure and broader private credit risks.

Company Timeline and Ares Fund Complaints

  • 1997: Ares Management is founded, laying the groundwork for what would become a major credit, private equity, real estate, and infrastructure platform.
  • 2004: Ares Capital Corporation goes public, helping expand the firm’s footprint in direct lending and credit markets.
  • 2007: Ares expands its credit business into Europe, adding to the scale of its global lending platform.
  • 2010s through early 2020s: Ares continues to grow across private credit, real estate debt, structured credit, and direct lending. Over time, that growth creates a much larger platform with many separate funds, feeder vehicles, co-investment vehicles, and access funds.
  • 2023 through 2025: Private credit becomes one of the most heavily marketed alternative asset classes on Wall Street. Ares says the market is maturing, deals are getting larger, and more private wealth investors are entering the sector.
  • Second quarter 2025: Ares reports it holds the largest amount of private credit dry powder in the market, with $150 billion of committed capital waiting to be deployed. That kind of scale can be presented as a strength, but it also raises the stakes around underwriting quality, deployment discipline, and investor expectations.
  • Late 2025: Broader concerns begin to surface across private credit. Reuters Breakingviews reported that competition from banks and narrowing premiums were putting pressure on the asset class and reducing some of the advantages private credit once enjoyed over traditional markets.
  • February 2026: Reuters reports that Ares shares fell as investors focused on software exposure and possible disruption tied to artificial intelligence. Ares executives pushed back, but the market reaction showed that investors were starting to look more closely at sector concentration and downside risk in private credit portfolios.
  • March 2026: NPR reported on Jamie Dimon’s warning that private credit and private equity could run into trouble in a downturn, reinforcing Ares fund complaints that risks in these markets may not be fully understood until stress appears.
  • 2026 and ongoing: The biggest issue for many investors is not simply whether Ares continues to grow. It is whether private credit products sold as income-focused and resilient were actually suitable for the investors who bought them, especially if those investors were not fully informed about private credit fund liquidity issues, valuation risk, and borrower stress.

Private Credit Fund Liquidity Issues and Redemption Restrictions

One of the most common concerns is Ares’ private credit fund liquidity issues. Private credit funds are not publicly traded. As a result, investors often cannot sell their positions easily. Many funds impose redemption limits or restrict withdrawals during periods of market stress. Investors have reported situations where they could not access their money when they needed it most.

These private credit fund liquidity issues can worsen if many investors seek withdrawals at the same time. Fund managers may not have enough liquid assets to meet those requests without putting additional pressure on the portfolio. The broader concern in private credit is that more money has moved into semi-liquid structures through wealth-management channels, even though the underlying assets remain difficult to sell quickly.

Accusations of Private Credit Investment Fraud and Unsuitable Recommendations

Some investors have raised concerns about how Ares private credit funds were presented by financial advisors. Investors often allege that the risks were not fully explained before the recommendation was made.

Ares fund complaints about private credit investment fraud may include:

  • Failure to disclose private credit fund liquidity restrictions
  • Overemphasis on income potential
  • Recommendations that did not match the investor’s risk tolerance
  • Concentration in complex or illiquid investments

When financial advisors recommend private credit funds, they must ensure those recommendations are suitable and in the retail customer’s best interest. FINRA explains that Regulation Best Interest establishes a best-interest standard of conduct for broker-dealers and associated persons when they recommend securities transactions or investment strategies to retail customers. If those obligations were not met, investors may have grounds to pursue claims involving private placement investments and possible misconduct.

Ares Private Credit Funds and Form D Filings

Many Ares private credit offerings may be structured as private placements under Regulation D. The SEC explains that Form D is a notice of an exempt offering of securities and that these notices and amendments are filed through EDGAR.

Ares is a single asset management firm, but it operates through a very large number of separate funds and offerings. Each filing can represent a different private investment vehicle, with its own structure, strategy, investor terms, and risks.

The list below highlights many of the Ares private credit and related funds associated with those filings. While these offerings are part of the same overall platform, they are often presented to investors as distinct opportunities. Understanding the number and variety of these funds can help investors better evaluate how their investment was structured and where potential risks may exist.

Market Stress and Increasing Risk of Ares Private Credit

The private credit market has grown quickly, but signs of stress are becoming harder to ignore. Rising interest rates have increased borrowing costs. Refinancing has become more difficult for many borrowers. Competition from banks and narrowing premiums have also created pressure on private lenders to defend returns and maintain underwriting discipline.

As a result, some analysts warn that private credit fund losses could rise if defaults increase. Investors in Ares private credit funds may face additional risk if economic conditions weaken or if liquidity pressures grow across the market. Even where a manager continues to report strong fundraising and growing assets, that does not eliminate the risk that particular funds or recommendations may have exposed investors to private credit fund liquidity issues, concentration risk, or losses that were not adequately explained at the time of sale.

Investors continue to raise concerns about Ares advisors and private credit products, particularly around liquidity restrictions, risk disclosure, and unexpected losses. As new information emerges, it is important to stay informed about potential broker misconduct and patterns of complaints tied to specific representatives and offerings.

What Investors Can Do If They Have Losses

If you invested in Ares private credit funds and are experiencing losses, private credit fund liquidity issues, or unexpected restrictions, you may have legal options. Investors who suffered losses may be able to pursue claims related to unsuitable recommendations, misrepresentation, or failure to disclose risks.

Frequently Asked Questions About Ares Private Credit Fund Concerns

What are Ares private credit funds?

Ares private credit funds are private investment vehicles that lend money to companies outside traditional banks. They may offer income, but they can also involve illiquidity, borrower stress, and valuation risk.

Why are investors making Ares fund complaints?

Many Ares fund complaints involve liquidity restrictions, risk disclosure concerns, valuation questions, and allegations that the investments were presented as safer or more predictable than they really were.

What are private credit fund liquidity issues?

Private credit fund liquidity issues happen when investors cannot easily redeem or sell their investment. These problems often become more serious during market stress or when many investors seek withdrawals at once.

Can Ares private credit funds lose money?

Yes. Ares private credit funds can lose money if borrowers default, refinancing conditions worsen, valuations fall, or redemptions create pressure on the fund.

Were Ares private credit funds sold as low-risk income investments?

Some investors allege that Ares private credit funds were presented as steady income investments without enough explanation of liquidity limits, downside risk, and borrower stress.

What is private credit investment fraud?

Private credit investment fraud may involve misrepresentation, omission of key risks, unsuitable recommendations, or failure to explain liquidity restrictions and concentration risk.

Are Ares private credit funds illiquid?

Many Ares private credit funds are illiquid because they are not publicly traded and may limit withdrawals. That means investors may not be able to access their money when they expect to.

Can I sue over losses in an Ares private credit fund?

Possibly. If your advisor recommended an unsuitable investment or failed to disclose material risks, you may have a legal claim, often through FINRA arbitration.

What should I do if I lost money in an Ares private credit fund?

You should gather your account statements, offering documents, and communications with your advisor, then speak with an investment fraud attorney to review whether the recommendation was suitable.

How do I know if my Ares private credit investment was unsuitable?

Warning signs can include lack of liquidity disclosure, concentration in illiquid products, recommendations that did not fit your goals, or being told the investment was safer than it actually was.
