Tamir Shabat Suspended by SEC

SEC Suspension
On January 14, 2025, the SEC filed cease-and-desist proceedings against Tamir Shabat, alleging that solicited investors on behalf of StraightPath Venture Partners without being registered as a broker.
From at least June 2019 to March 2020, Tamir Shabat allegedly solicited investors to invest in privately-offered membership interests in limited liability companies (“StraightPath Funds”) that purported to own shares in private companies that might issue an initial public offering (IPO) in the future.
Tamir Shabat allegedly solicited at least 80 investors to invest at least $6 million in the StraightPath Funds, either on his own or through unregistered agents. He allegedly received more than $145,800 in compensation in relation to these transactions.
The SEC alleged that Tamir Shabat violated Section 15(b) of the Securities Exchange Act of 1934.
Securities Exchange Act of 1934
Section 15(b) of the Securities Exchange Act of 1934 prohibits unregistered individuals from effecting transactions or attempting to induce the purchase or sale of securities.
Sanctions
The SEC ordered Tamir Shabat to cease and desist from future violations of Section 15(b) of the Securities Exchange Act of 1934.
The SEC imposed the following sanctions:
- $40,000 fine
- Disgorgement of $145,868.42
- Additional monetary sanction of $34,691.01
The SEC also suspended him from participating in penny stock offerings and from associating with the following:
- Brokers
- Dealers
- Investment advisers
- Municipal securities dealers
- Municipal advisors
- Transfer agents
- Nationally recognized statistical ratings organizations (NRSROs)
These bars took effect on January 27, 2025, and will end on July 26, 2025.
The SEC also ordered Tamir Shabat to comply with an unspecified undertaking.
