Texas Files Regulatory Action Against Sebastian Agudeloisaza

Texas Regulatory Action
On April 30, 2025, the State of Texas alleged that Sebastian Agudeloisaza, as co-owner and only investment adviser representative of Advue Capital, LLC, sold two private placement offerings from approximately July 2019 through December 2022.
First, Sebastian Agudeloisaza allegedly facilitated investments from seven investors and four promissory notes for ION Fund, and received approximately $77,265 in commissions. Sebastian Agudeloisaza and his co-owner were allegedly among these investors, while Advue Capital allegedly served as general partner of the ION Fund limited partnership.
Sebastian Agudeloisaza allegedly failed to update the Form ADV or other disclosure document to inform clients that Advue would receive fees in connection with their ION Fund investments and promissory notes.
Next, he allegedly recommended that three investors invest in Rainmaker, in addition to his co-owner and Advue Capital. However, all of these funds were allegedly lost through forex trading.
During the relevant period, Sebastian Agudeloisaza was allegedly also not registered as an agent or dealer with the Texas Securities Commissioner.
The State of Texas suspended Sebastian Agudeloisaza in all capacities for six months. His suspension began on April 30, 2025, and will end on October 28, 2025. He was also subject to unspecified undertakings.
